General
By accessing or using the Edmonton Auction House website, platform, and/or services (the "Services"), you agree to comply with and be bound by the following Terms of Use. If you do not agree, you may not use our Services.
Accounts
To fully utilize our services, you are required to have an authenticated account with us. During registration, we will ask for information including your name, email address, and other personal details. You must be 18 years of age or older to use this website and have your information stored by our servers. You must provide accurate and complete information in response to our questions and keep that information up to date. You are fully responsible for all activities that occur under your Edmonton Auction House account, including any actions taken by persons to whom you have granted access to your account.
Each individual may maintain only one account. Accounts registered with false, misleading, or inaccurate information may be suspended or terminated at our sole discretion.
Employee and Director Bidding Restrictions
All employees, directors, officers, contractors, and any other persons affiliated with AI Alchemitects, Inc. or Edmonton Auction House are strictly prohibited from placing bids on the production platform under any circumstances. This prohibition applies to both direct and indirect participation, including but not limited to bidding through family members, friends, or any other third parties acting on their behalf. Any violation of this policy will result in immediate termination of employment or contractual relationship, and may result in legal action to recover any improperly obtained items or funds.
Auction Bidding Rules
All bids placed on Edmonton Auction House are binding. By placing a bid, you agree to purchase the item at your bid price plus the applicable buyer premium (currently 7% of the final sale price) if you are the winning bidder.
- Bids must meet or exceed the minimum bid increment specified on each listing.
- Sellers may not bid on their own listings.
- Bid retraction is not permitted. All bids are final. In exceptional cases, an administrator may retract a bid at their sole discretion.
- Anti-sniping protection: if a bid is placed within the final 30 seconds of an auction, the auction end time is automatically extended by 30 seconds.
Claim, Payment, and Pickup
If you win an auction, you must claim the item within 14 days of the auction's end. Unclaimed items may be forfeited at the sole discretion of Edmonton Auction House.
Payment is due within 7 days of claiming. Failure to pay within this period may result in account suspension or closure at our sole discretion.
Items must be picked up or have arrangements made within 365 days of the auction's end. After 365 days, the item is forfeited to the auction house and is not returned to the seller. Edmonton Auction House may issue a partial refund at its sole discretion.
Commissions and Fees
Edmonton Auction House charges a commission of 7% on the final sale price to the seller and a buyer premium of 7% on the final sale price to the buyer. These rates are subject to change; any changes will be posted to the Site Settings and will apply to auctions created after the change takes effect.
Seller Responsibilities
Approved sellers are responsible for the accuracy of their listing descriptions, photos, and condition assessments. Sellers must make items available for pickup at the location specified in the listing. Edmonton Auction House does not guarantee the condition, quality, or authenticity of items listed by sellers.
Dispute Resolution
Buyers may file a dispute within the configured dispute window after claiming an auction. Disputes are reviewed by a mediator appointed by Edmonton Auction House, whose decision is final and binding. All decisions regarding the interpretation of these terms or any dispute are at the sole discretion of AI Alchemitects, Inc. and are final and binding.
Changes
We may amend the Terms of Use, Privacy Policy, general terms, any additional terms, and/or our policies, at any time with notice that we deem to be reasonable with the circumstances and in accordance with applicable laws or codes of conduct. We will post the Revised Version on our website or communicate it to you through the Services. The Revised Version will be effective as of the time it is posted. Your continued use of the Services after the posting of a Revised Version constitutes your acceptance of such Revised Version.
Limitations
You may not, nor may you permit any third party, directly or indirectly, to:
- (a) export the Services, which may be subjected to export restrictions imposed by Canadian law, including the Exports and Imports Permit Act (Canada);
- (b) access or monitor any material or information on any Edmonton Auction House system using any manual process or robot, spider, scraper, or other automated means;
- (c) except to the extent that any restriction is expressly prohibited by law, violate the restrictions in any robot exclusion headers on any Service, work around, bypass, or circumvent any of the technical limitations of the Services, use any tool to enable features or functionalities that are otherwise disabled in the Services, or decompile, disassemble or otherwise reverse engineer the Services;
- (d) perform or attempt to perform any actions that would interfere with the proper working of the Services, prevent access to or use of the Services by our other customers, or impose an unreasonable or disproportionately large load on our infrastructure;
- (e) copy, reproduce, alter, modify, create derivative works, publicly display, republish, upload, post, transmit, resell or distribute in any way material, information or Services from Edmonton Auction House;
- (f) use and benefit from the Services via a rental, lease, timesharing, service bureau or other arrangement, unless otherwise permitted;
- (g) transfer any rights granted to you under these General Terms or any Additional Terms;
- (h) use the Services for any illegal activity or goods or in any way that exposes you, other Edmonton Auction House users, our partners, or Edmonton Auction House to harm; or otherwise use the Services except as expressly allowed under these General Terms and applicable Additional Terms.
If we reasonably suspect that your Edmonton Auction House account has been used for an unauthorized, illegal, or criminal purpose, you grant express authorization to share information about you, your account, and any of your transactions with law enforcement.
Your Content
The Services may include functionality for uploading and/or providing photos, descriptions, and other materials or information ("Content").
You grant us and our subsidiaries, affiliates, and successors a worldwide, non-exclusive, royalty-free, fully-paid, transferable, and sub-licensable right to use, reproduce, modify, adapt, publish, prepare derivative works of, distribute, publicly perform, and publicly display your Content throughout the world in any media in order to provide and promote the Services. You retain all rights to your Content, subjected to the rights you granted us in these General Terms.
Although we have no obligation to monitor any Content, we have absolute discretion to remove Content at any time and for any reason without notice.
Security
We have implemented technical and organizational measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration, or disclosure. However, we cannot guarantee that unauthorized third parties will never be able to defeat those measures or use your personal information for improper purposes. You provide your personal information at your own risk. You are responsible for safeguarding your password and for restricting access to the Services from your devices.
Communications
You consent to accept and receive communications from us, including e-mail for the purposes of receipts, reminders, notifications, and other service-related messages. You may opt-out of receiving optional notifications (such as outbid alerts and marketing emails) through your account settings. Transactional communications (auction won, dispute updates) will always be sent regardless of preference settings.
Indemnity
We reserve all rights not expressly granted to you in these General Terms. We own all rights, title, interest, copyright and other worldwide Intellectual Property Rights in the Services and all copies of the Services.
You will indemnify, defend, and hold us and our processors (and our respective employees, directors, agents, affiliates and representatives) harmless from and against any and all claims, costs, losses, damages, judgments, tax assessments, penalties, interest, and expenses (including reasonable legal fees) arising out of any claim, action, audit, investigation, inquiry, or other proceeding instituted by a person or entity that arises out of or relates to:
- (a) any actual or alleged breach of your representations, warranties, or obligations set forth in these General Terms;
- (b) your wrongful or improper use of the Services;
- (c) your violation of any third-party right, including any right of privacy, publicity rights or Intellectual Property Rights;
- (d) your violation of any law, rule or regulation of Canada (including its provinces and territories) or any other country; and
- (e) any other party's access and/or use of the Services with your unique name, password or other appropriate security code.
No Warranties
THE SERVICES ARE PROVIDED "AS IS" WITHOUT REPRESENTATION OR WARRANTY, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. AI ALCHEMITECTS, INC. SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
AI ALCHEMITECTS, INC. DOES NOT WARRANT OR GUARANTEE THAT THE SERVICES ARE ACCURATE, RELIABLE OR CORRECT; THAT THE SERVICES WILL MEET YOUR REQUIREMENTS; THE SERVICES WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED, ERROR-FREE, WITHOUT DEFECT OR SECURE; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
AI Alchemitects, Inc. does not warrant, endorse, guarantee, or assume responsibility for any product or services offered by sellers through the platform. Edmonton Auction House does not have control of, or liability for, goods sold through the Services.
Limitations of Liability and Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AI ALCHEMITECTS, INC. BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, INABILITY TO USE, OR UNAVAILABILITY OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF AI ALCHEMITECTS, INC. IS LIMITED TO THE GREATER OF (A) THE AMOUNT OF FEES EARNED BY US IN CONNECTION WITH YOUR USE OF THE SERVICES DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM FOR LIABILITY, OR (B) $100.
Governing Law
This agreement will be governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.
